Concept Advantage's Affiliate Program Terms and Conditions
Welcome to the Affiliate Program for Concept Advantage! By participating in this program, you have the opportunity to earn commission by promoting our products through your website or other marketing channels.
The purpose of these Terms and Conditions is to govern the relationship between Concept Advantage (“Company”) and its affiliates (“Affiliates”) regarding the sale of supplements, apparel and other products offered by Concept Advantage, through the Company’s website using the Concept Advantage Affiliate program. The Agreement sets out the terms and conditions under which Affiliates may promote and sell the Company’s products, earn commissions, and use the features and services provided by the Concept Advantage Affiliate program.
The Agreement is designed to ensure that Affiliates comply with the Company’s policies and standards, and to provide a framework for the successful promotion and sale of the Company’s products. By becoming an Affiliate, you acknowledge that you have read and agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, you are not eligible to participate in this program.
Definition of Key Terms:
The following terms are used throughout these Terms and Conditions and are defined as follows:
- “Affiliate” refers to you, the individual or entity participating in the Concept Advantage Affiliate Program.
- “Concept Advantage” refers to the website and its owners and operators.
- “Products” refers to the supplements sold on the Concept Advantage website.
- “Program” refers to the Concept Advantage Affiliate Program.
- “Website” refers to the Concept Advantage website and its related pages.
- “Sumo Affiliates Pro” refers to the affiliate program management software used by Concept Advantage.
- Purpose of the Terms and Conditions
Requirements to become an Affiliate
To become an Affiliate, you must meet the following requirements:
- Be 18 years of age or older
- Have a valid email address and PayPal account for commission payments
- Complete the Affiliate Program application process
- Agree to the terms and conditions of this Agreement
The following activities are strictly prohibited and will result in the termination of your Affiliate status:
- Spamming or sending unsolicited emails
- Using false or misleading information in your Affiliate application
- Engaging in any illegal or unethical business practices
- Infringing on the intellectual property rights of Concept Advantage or others
- Engaging in any activity that may harm the reputation of Concept Advantage
- Modifying the Affiliate Tracking Link or Affiliate materials in any way
- Representing yourself as a representative of Concept Advantage or making false or misleading statements about the Company or its products
- Purchasing or attempting to purchase your own products through your Affiliate Tracking Link (Unless otherwise specified by Concept Advantage)
Termination of Affiliate Status
Concept Advantage reserves the right to terminate your Affiliate status at any time, with or without cause, and without notice. Upon termination, you will forfeit any outstanding commissions and must remove all marketing materials and links from your website or other marketing materials.
III. Commission and Payment
Commission: As an Affiliate, you will earn a commission on each qualified sale of Concept Advantage products that is made through your unique Affiliate Tracking Link. The commission rate and payment schedule will be determined by Concept Advantage and may be changed from time to time at its sole discretion. The current commission rate and payment schedule can be found in your Affiliate dashboard.
Payment Method: Commissions will be paid through PayPal. It is the Affiliate’s responsibility to provide and maintain a valid PayPal account for commission payments. Concept Advantage will not be responsible for any fees or charges incurred by the Affiliate as a result of commission payments.
Payment Schedule: Commissions will be paid on a monthly basis, provided that the minimum payment threshold of $50 has been met. If the minimum payment threshold is not met in a given month, the commission will roll over to the next month until the minimum payment threshold is met.
Returns and Refunds: In the event that a customer returns a product or requests a refund, the corresponding commission will be deducted from the Affiliate’s next commission payment.
Taxes: It is the Affiliate’s responsibility to determine and pay any taxes owed as a result of commission payments. Concept Advantage will not be responsible for withholding, collecting, or reporting any taxes owed by the Affiliate.
IV. Marketing and Promotion
Marketing Materials: Concept Advantage will provide Affiliates with marketing materials, including banners, product descriptions, and links (“Affiliate Materials”). Affiliates may use the Affiliate Materials in accordance with the terms and conditions of this Agreement.
Proprietary Rights: The Affiliate Materials are the property of Concept Advantage and are protected by intellectual property laws. Affiliates may not use the Affiliate Materials in any manner that infringes on the proprietary rights of Concept Advantage.
Modification of Affiliate Materials: Affiliates may not modify the Affiliate Materials in any way without the prior written consent of Concept Advantage.
Placement of Affiliate Tracking Links: Affiliates must place the Affiliate Tracking Link prominently on their website or in their marketing materials. The Affiliate Tracking Link must not be placed in any manner that may be deemed misleading or deceptive.
Promotion of Products: Affiliates must promote the products in a manner that is ethical and in compliance with all applicable laws. Affiliates may not make any false or misleading claims about the products or engage in any deceptive business practices.
Responsibility for Content: Affiliates are solely responsible for the content of their website and marketing materials, including the accuracy of product descriptions and claims. Concept Advantage reserves the right to require that any content be modified or removed if it is deemed to be false, misleading, or in violation of this Agreement.
V. Product Information
Product Descriptions: Concept Advantage will provide Affiliates with accurate and up-to-date information about the products, including product descriptions and specifications. Affiliates must use the provided information in promoting the products.
Product Claims: Affiliates may not make any claims about the products that have not been approved in writing by Concept Advantage. Any claims made by Affiliates must be supported by competent and reliable scientific evidence.
Product Updates: Concept Advantage may, from time to time, update the products or product information. It is the Affiliate’s responsibility to ensure that they are using the most current information in promoting the products.
Product Availability: The availability of products may change from time to time, and Concept Advantage reserves the right to discontinue any product at any time without notice. It is the Affiliate’s responsibility to ensure that they are promoting products that are available for purchase.
Product Pricing: The pricing of products may change from time to time, and Concept Advantage reserves the right to change the pricing of any product at any time without notice. It is the Affiliate’s responsibility to ensure that they are promoting products at the current prices.
VI. Concept Advantage’s Affiliate Program Features:
Affiliate Dashboard: Concept Advantage will provide Affiliates with access to an Affiliate dashboard, which will include information about their commissions, marketing materials, and Affiliate Tracking Link.
Affiliate Tracking Link: Concept Advantage will provide each Affiliate with a unique Affiliate Tracking Link, which will be used to track sales and commissions.
Real-time Reporting: The Affiliate dashboard will provide real-time reporting, allowing Affiliates to track their sales and commissions in real-time.
Promotional Calendar: The Affiliate dashboard will include a promotional calendar, which will provide Affiliates with information about upcoming promotions and sales events.
Marketing and Promotional Resources: Affiliates are responsible for running their own promotions and marketing efforts. Concept Advantage may provide some resources from time to time, but is not obligated to do so.
Customer Service: Concept Advantage will provide Affiliates with access to customer service support to assist with any questions or concerns related to the products or Affiliate program.
Affiliate Newsletter: Concept Advantage will provide Affiliates with an Affiliate newsletter, which will include information about new products, promotions, and other important updates.
VII. Compliance with Laws
- Governing Laws: This Agreement and all matters arising from or relating to this Agreement shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein.
Compliance with Laws: Affiliates must comply with all applicable laws and regulations in promoting the products and participating in the Concept Advantage Affiliate Program, including laws related to advertising, marketing, and consumer protection.
Indemnification: Affiliates agree to indemnify and hold Concept Advantage harmless from any and all claims, damages, liabilities, and expenses arising from the Affiliate’s promotion of the products or violation of any applicable laws or regulations.
Disclaimer of Warranties: Concept Advantage makes no representations or warranties, express or implied, regarding the products or the Concept Advantage Affiliate Program. Affiliates use the products and participate in the Affiliate Program at their own risk.
VIII. Dispute Resolution
Informal Resolution: Affiliates and Concept Advantage will use their best efforts to resolve any disputes arising from or related to this Agreement through good faith negotiations.
Mediation: If the parties are unable to resolve a dispute through informal negotiations, either party may initiate mediation. The mediator will be selected by mutual agreement of the parties.
Arbitration: If the parties are unable to resolve a dispute through mediation, the dispute may be resolved through binding arbitration in accordance with the laws of the Province of Alberta. The arbitration will be conducted by a single arbitrator selected by mutual agreement of the parties.
Governing Law: The arbitration shall be governed by the laws of the Province of Alberta, and the parties agree to submit to the jurisdiction of the courts of the Province of Alberta for any actions arising from or related to the arbitration.
Confidentiality: The parties agree to maintain the confidentiality of the arbitration proceedings, including the award, and shall not disclose the existence, content, or results of the arbitration, except as may be necessary to enforce the award.
IX. Modification and Termination
Modification: Concept Advantage reserves the right to modify this Agreement at any time, with or without prior notice to Affiliates. Any modifications will be posted on the Concept Advantage website and shall be effective immediately upon posting.
Termination: Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party. Upon termination, Affiliates will no longer be eligible to participate in the Concept Advantage Affiliate Program and will forfeit any outstanding commissions.
Survival: The provisions of this Agreement relating to Indemnification, Compliance with Laws, Dispute Resolution, and Confidentiality shall survive termination of this Agreement.
X. Miscellaneous Provisions
Assignment: Affiliates may not assign this Agreement or delegate any of their obligations hereunder without the prior written consent of Concept Advantage. Concept Advantage may assign this Agreement or delegate any of its obligations hereunder without the prior written consent of the Affiliate.
Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all prior negotiations, understandings, and agreements between the parties, whether written or oral.
Waiver: The failure of either party to enforce any provision of this Agreement shall not be deemed a waiver of the right to enforce such provision in the future.
Severability: If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.
Notice: Any notice required or permitted under this Agreement shall be in writing and shall be deemed given upon personal delivery, or upon the third business day after mailing, or upon the first business day after sending by email.
Headings: The headings of sections of this Agreement are for convenience only and shall not be used to construe the meaning of this Agreement.
XI. Force Majeure:
Neither party shall be liable to the other party for any failure to perform its obligations hereunder if such failure is caused by the occurrence of any unforeseen event beyond the reasonable control of such party, including but not limited to, acts of God, war, civil unrest, government regulations, fire, flood, strikes or other labor disputes, and equipment failures. The affected party shall promptly notify the other party of the nature and extent of such event. The obligations and rights of the affected party shall be extended on a day-to-day basis for the time period equal to the duration of such event. If the affected party is unable to cure its failure to perform within a reasonable period of time, not to exceed 90 days, then the other party may terminate this Agreement upon written notice.
XII. Limitation of Liability:
Neither party shall be liable to the other party for any indirect, incidental, special, or consequential damages arising from the performance or failure to perform under this agreement, even if the party has been advised of the possibility of such damages. The maximum liability of either party to the other party for any claims arising out of this agreement shall be limited to the total amount of commission earned by the affiliate during the 12 months prior to the date of the claim.
